Terms of Service

1. Introduction

Welcome to AudioScribe (the "Service"), operated by AudioScribe ("we", "us", "our").

By accessing or using the Service, you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, do not use the Service.

2. The Service

AudioScribe lets registered users upload audio and receive real-time transcription and summaries. Results are displayed in your session and, by design, we do not retain your audio, transcripts, or summaries after returning the response (see §9 and our Privacy Policy).

If you choose to export, sync, or send outputs to third-party destinations (e.g., Notion, Zapier, or other apps you connect), those destinations process the data under their own terms and policies. We are not responsible for third-party destinations you choose.

We may change, suspend, or discontinue parts of the Service at any time. We provide reasonable efforts to maintain availability but do not guarantee uninterrupted access.

3. Eligibility & Accounts

You must be at least 16 in the EEA/UK and 13 elsewhere to use the Service. If you are under the age of majority where you live, you may use the Service only with the consent of a parent or legal guardian, as required by applicable law.

Registration is required before starting a transcription job. You agree to provide accurate information and keep your credentials confidential.

You are responsible for all activities under your account. Notify us immediately of any unauthorized use.

4. Privacy

Your use of the Service is subject to our Privacy Policy, which explains what we collect (minimal account & usage data), how we process your Audio Content in real time, and our no-marketing-emails practice. By using the Service, you acknowledge the Privacy Policy.

5. Your Content (Audio & Outputs)

Ownership

As between you and us, you own all rights in audio you upload and the outputs (transcripts/summaries) generated for you.

License to operate the Service

You grant us a limited, non-exclusive, royalty-free license to process your Audio Content in real time solely to provide the Service to you (including routing to our contracted speech-to-text and LLM providers).

No training by default

We do not use your Audio Content to train models.

Immediate deletion

We process in memory or temporary storage and delete immediately after delivering results. In rare failure events, a temporary object may persist for a short period (typically up to 60 minutes) for recovery purposes before automatic purge.

Your responsibilities

You represent and warrant that you have all rights and necessary consents to upload the audio (including consent of recorded participants where required by law) and that it does not infringe any third-party rights or violate law. You will not upload illegal content or content that is harmful, hateful, or exploitative.

6. Acceptable Use

You agree not to:

  • Use the Service in violation of any law or regulation;
  • Infringe others' IP or privacy; record or upload audio without required consent;
  • Attempt to probe/scan/test security, bypass usage limits, or abuse the Service (including automated scraping or excessive programmatic calls);
  • Upload malware or content that is harassing, hateful, or sexually explicit.

We may suspend or terminate access for violations (see §15).

7. Third-Party Services & Providers

To operate the Service, we rely on cloud hosting/CDN, speech-to-text and LLM APIs, auth/email, and monitoring providers. They act under contract and process data on our instructions where they act as our processors/service providers. Links to third-party sites are provided for convenience; we are not responsible for their content or policies.

8. Plans, Fees & Refunds

We may offer free trials, pay-as-you-go, or subscriptions. Prices, features, and limits may change with notice on the Site.

Billing & Taxes

If paid plans are enabled, you authorize us or our payment processors to charge your selected payment method. You are responsible for taxes where applicable.

Refunds

Refund and Cancellation Policy
1. Refund Eligibility: You may request a refund for your subscription within fourteen (14) days of the initial purchase date. Requests made after this period are not eligible for a refund.
2. Pro-rated Usage Deduction: Due to the significant server costs associated with AI transcription and processing, all refunds are subject to a Usage Fee deduction. We do not offer full refunds if the service has been used.
3. Calculation of Refund: The refund amount is calculated as follows: Total Paid Amount minus (Total Processed Minutes × $0.035). The rate of $0.035 per minute represents the direct cost of computing and API usage incurred by us. If the calculated Usage Fee exceeds the Total Paid Amount, no refund will be issued.
4. Processing: Once the refund amount is determined, the balance will be returned to your original payment method within 5-10 business days.

Note: All features are currently available during the service period.

9. Data Handling & Security

  • Real-time only: Audio is processed in real time; no persistent storage of audio, transcripts, or summaries after the response is sent.
  • No marketing emails: We do not send promotional marketing emails. We send transactional communications (verification, password reset, security notices) and may occasionally send service-related research invitations (e.g., user interviews or surveys). You can opt out of research invitations at any time.
  • Security: We use industry-standard safeguards, but no method is 100% secure.

10. Intellectual Property

Our IP

The Service (software, UI, trademarks, and content we create) is owned by us or our licensors and protected by law.

Your IP

Your Audio Content and outputs remain yours (§5).

Feedback

If you send suggestions or feedback, you grant us a perpetual, worldwide, royalty-free right to use them without obligation.

11. Accuracy & Professional Use Disclaimer

Transcription and summaries are generated by automated systems and may contain errors. You should review outputs before relying on them. The Service does not provide legal, medical, or other professional advice.

12. Copyright / IP Complaints

If you believe material processed through or linked by the Service infringes your copyright or other IP, email support@audioscribe.org with a notice including: your contact details, the work identified, the allegedly infringing material/URL, a good-faith statement, and your signature (electronic is acceptable). A DMCA-style notice is acceptable for U.S. copyright notices. We may remove or disable access and, where appropriate, terminate repeat infringers.

13. Changes to the Service and to these Terms

We may update the Service and these Terms from time to time. Material changes will be posted with the "Last updated" date and, where appropriate, additional notice. Continued use after changes means you accept the updated Terms.

14. Consumer Rights (EU/UK)

If you are a consumer in the EEA/UK, you may have statutory rights under local law. These Terms do not affect rights that cannot be waived.

Right of Withdrawal

As a consumer in the EEA or UK, you have a statutory right to withdraw from contracts for digital services within 14 days. We respect this right by offering a 14-day refund option (see §8) to all users. You can request cancellation within 14 days of your initial subscription, and any refund is processed with the usage-based deduction described in §8, satisfying your statutory right of withdrawal without complex waiver acknowledgments.

15. Suspension & Termination

We may suspend or terminate your access (with or without notice) if we reasonably believe you violated these Terms, posed security/abuse risks, or failed to pay fees (if paid plans exist). Where applicable law requires notice or an opportunity to remedy (including for certain consumer situations), we will provide it unless doing so would create security, fraud, or abuse risks.

You may stop using the Service at any time. Sections intended to survive (e.g., §§5, 7, 10–12, 16–18) survive termination.

16. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation.

Nothing in these Terms excludes or limits warranties, rights, or remedies that cannot be excluded under applicable law (including mandatory consumer protections).

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • (a) WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; AND
  • (b) OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID (IF ANY) IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law (for example, for fraud, willful misconduct, or death/personal injury caused by negligence, where applicable).

Some jurisdictions do not allow certain limitations; in those cases, the limits apply to the fullest extent permitted.

18. Governing Law & Dispute Resolution

These Terms are governed by the laws of England & Wales without regard to conflict-of-law rules.

Venue

Unless mandatory law provides otherwise, courts located in England & Wales shall have exclusive jurisdiction.

Consumer carve-out

If you are a consumer, nothing in this §18 limits any rights you may have to bring claims in the courts of your habitual residence or to rely on mandatory consumer protection laws applicable in your place of residence (including EEA/UK consumer protections).

19. Miscellaneous

  • Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and us.
  • Severability: If any provision is unenforceable, the remainder remains in effect.
  • Assignment: You may not assign these Terms without our consent; we may assign to a successor or affiliate.
  • No Waiver: Our failure to enforce a provision is not a waiver.
  • Language: These Terms are provided in English; translations (if any) are for convenience only.
